Terms and Conditions

1. Company Information
Apex Elite Marketing - FZCO, a free zone company registered in Dubai Silicon Oasis, Dubai, United Arab Emirates, under registration number DSO-FZCO-44461, with its registered address at Building A1, Dubai Digital Park, Dubai Silicon Oasis, Dubai, United Arab Emirates ("Apex Elite Marketing", "we", "us", or "our"). 2. Applicability
These Terms and Conditions ("Terms") govern all agreements, offers, and services provided by Apex Elite Marketing - FZCO to its business clients ("Client", "you") for organic marketing and social media marketing services. By engaging our services or entering into an agreement, you agree to be bound by these Terms.
3. Definitions
Client: Any business entity entering into an agreement with Apex Elite Marketing - FZCO.
Services: Organic marketing and social media marketing services, including but not limited to content creation, social media management, and organic growth strategies.
Agreement: Any contract or arrangement between Apex Elite Marketing - FZCO and the Client for the provision of Services.
4. Offers and Agreements
4.1. All offers made by Apex Elite Marketing - FZCO are non-binding unless expressly stated otherwise in writing.
4.2. An Agreement is formed upon written confirmation (including email) by Apex Elite Marketing - FZCO of the Client’s request for Services.
4.3. Apex Elite Marketing - FZCO reserves the right to refuse service requests at its discretion.
5. Pricing and Payment
5.1. All prices are quoted in UAE Dirham (AED) and are inclusive of applicable Value Added Tax (VAT) as per UAE Federal Decree-Law No. 8 of 2017, unless otherwise stated.
5.2. Payment is due within 7 days from the invoice date, via the payment methods specified in the invoice.
5.3. In case of late payment, Apex Elite Marketing - FZCO may charge interest at the rate permitted under UAE law and recover reasonable collection costs.
6. Delivery of Services
6.1. Apex Elite Marketing - FZCO will deliver Services as outlined in the Agreement, within the agreed timelines or as soon as reasonably practicable.
6.2. Delays caused by third-party platforms (e.g., social media platforms) or other external factors do not render Apex Elite Marketing - FZCO liable.
6.3. The Client shall provide all necessary information, materials, and cooperation to enable timely delivery of Services, including access to relevant accounts or data.
7. Cancellation and Termination
7.1. Cancellations by the Client must be communicated in writing and are subject to any fees outlined in the Agreement.
7.2. Apex Elite Marketing - FZCO may terminate an Agreement if the Client breaches these Terms or fails to make timely payments, subject to written notice.
7.3. Either party may terminate the Agreement with written notice as per the terms specified in the Agreement.
8. Intellectual Property
8.1. All intellectual property rights in materials, content, or campaigns created by Apex Elite Marketing - FZCO remain the property of Apex Elite Marketing - FZCO unless otherwise agreed in writing.
8.2. The Client is granted a non-exclusive, non-transferable license to use such materials solely for the purpose outlined in the Agreement.
8.3. The Client warrants that any materials provided to Apex Elite Marketing - FZCO (e.g., logos, images) do not infringe third-party rights.
9. Liability
9.1. Apex Elite Marketing - FZCO is not liable for indirect, consequential, or incidental damages, including loss of profits or business opportunities, unless caused by gross negligence or willful misconduct.
9.2. Our liability is limited to the amount paid by the Client for the Services under the relevant Agreement.
9.3. Apex Elite Marketing - FZCO does not guarantee specific results from organic marketing or social media campaigns, as outcomes depend on external factors (e.g., platform algorithms, audience engagement).
10. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the Agreement, except as required by UAE law.
11. Data Protection
Apex Elite Marketing - FZCO processes personal data in accordance with UAE Federal Decree-Law No. 45 of 2021 on Personal Data Protection. Please refer to our Privacy Policy at apexelitemarketing.com for details.
12. Force Majeure
Apex Elite Marketing - FZCO is not liable for delays or failure to perform due to circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, or technical failures of third-party platforms.
13. Governing Law and Dispute Resolution
13.1. These Terms and any Agreements are governed by the laws of the United Arab Emirates, with specific reference to the regulations of the Dubai Silicon Oasis Authority.
13.2. Any disputes arising from these Terms or Agreements shall be resolved through amicable negotiation. If unresolved, disputes shall be submitted to the competent courts of Dubai, UAE.
14. Amendments
Apex Elite Marketing - FZCO reserves the right to amend these Terms at any time. The latest version will be available at apexelitemarketing.com. Continued use of our Services constitutes acceptance of the updated Terms.
